The Standards Board for England has dismissed a complaint against Ledbury town councillor Martin Eager.
Coun Eager was reported for using "inappropriate language" towards Herefordshire councillor Barry Ashton.
Coun Ashton took offence to comments made in a letter, largely concerned with the rebuilding of Leadon Bank residential home for the elderly by Shaw Healthcare.
In a statement, the Standards Board said: "It was considered that the contents of the latter may be of a disrespectful nature. However, it was considered part and parcel of local politics that elected members, from time to time, make ill-considered comments about other elected members and that councillors have the platforms from which to counter such criticism, should they so wish.
"It was not considered that the allegations met the necessary threshold to justify a publicly-funded investigation and any consequent action."
